1. Acceptance of Terms

By accessing or using the Milk Supply Co website (milksupplyco.com), mobile applications, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Milk Supply Co, LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Platform. Your continued use of the Platform following any changes to these Terms constitutes your acceptance of those changes.

2. Description of Service

Milk Supply Co is a peer-to-peer marketplace that connects breastfeeding mothers with surplus breast milk to parents and families in need of breast milk. Our Platform provides tools for listing, browsing, purchasing, and shipping breast milk between individual users.

Milk Supply Co is a marketplace facilitator only. We do not produce, collect, screen, test, pasteurize, or guarantee the quality or safety of any breast milk listed on or sold through the Platform. All transactions are conducted directly between individual buyers and sellers. We are not a party to any transaction between users, and we do not act as a milk bank, healthcare provider, or medical advisor.

3. User Accounts

To use certain features of the Platform, you must create an account. By creating an account, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into these Terms.
  • All information you provide during registration and while using the Platform is accurate, current, and complete.
  • You will maintain and promptly update your account information to keep it accurate.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You will not create more than one account per person or create an account on behalf of another person without their authorization.
  • You will immediately notify us of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violations of these Terms, fraudulent activity, or behavior that harms other users or the Platform.

4. Marketplace Rules

For Sellers

As a seller on Milk Supply Co, you agree to:

  • Provide accurate and truthful information in all listings, including quantity, storage conditions, date expressed, and pricing.
  • Honestly disclose all relevant health information, including medications, supplements, diet, and any health conditions that may affect milk quality.
  • Follow all recommended storage, handling, and shipping guidelines provided by the Platform to ensure milk safety.
  • Maintain current identification if you hold a verified seller badge.
  • Only list breast milk that you personally produced. Reselling or relisting milk from other sources is strictly prohibited.
  • Fulfill orders promptly and communicate with buyers in a timely manner.

For Buyers

As a buyer on Milk Supply Co, you agree to:

  • Inspect all breast milk upon receipt for proper packaging, temperature, and condition.
  • Use the Platform's secure payment system for all transactions.
  • Report any issues with orders promptly through the Platform's dispute resolution process.
  • Consult with your pediatrician or healthcare provider before feeding donor breast milk to your child.
  • Not use the Platform for any purpose other than purchasing breast milk for infant feeding or other lawful purposes.

5. Payments & Transactions

All payments for breast milk purchases must be processed through the Milk Supply Co Platform. Our secure payment system works as follows:

  • When a buyer places an order, payment is authorized and processed through our payment provider.
  • Seller payouts are initiated automatically after delivery confirmation or after the standard settlement period expires without a dispute being filed.
  • Milk Supply Co charges a service fee of 10% on each completed transaction, which is deducted from the seller's payout.
  • A payment processing fee of 3% is charged to buyers on shipped orders to cover payment processing costs. This fee is calculated on the total order value (product cost plus shipping).
  • Off-platform payments are strictly prohibited. Any attempt to conduct transactions outside the Platform may result in account suspension or termination.

Refunds and Disputes: If a buyer is unsatisfied with their order, they may initiate a dispute through the Platform within the designated review period. Our support team will review the dispute and may issue a full or partial refund at our discretion. Sellers may contest disputes, and we will make a final determination based on available evidence.

6. Health & Safety Disclaimers

Important Health Notice

Milk Supply Co does not verify, test, screen, or guarantee the quality, safety, or composition of any breast milk listed on or sold through the Platform. While we offer optional seller verification badges based on submitted ID verification, we do not independently confirm the accuracy of such documentation.

The U.S. Food and Drug Administration (FDA) has advised that feeding a baby breast milk from an unscreened donor may pose health risks, including exposure to infectious diseases (such as HIV and hepatitis) and to medications, drugs, or other substances that may be present in breast milk. The FDA does not currently regulate peer-to-peer breast milk sharing.

By using the Platform, you acknowledge and accept the following:

  • All risks associated with purchasing, handling, and using peer-to-peer breast milk are assumed entirely by the user.
  • Milk Supply Co is a marketplace facilitator and bears no liability for the quality, safety, or condition of breast milk exchanged between users.
  • The Platform does not provide medical advice. Any information on the Platform related to breast milk safety, handling, or nutrition is for educational purposes only and should not be considered a substitute for professional medical advice.
  • You should consult with a qualified healthcare provider or pediatrician before feeding donor breast milk to an infant.
  • Seller verification badges indicate that a seller has submitted ID verification, but do not constitute a guarantee of milk safety or seller health status.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Creating fraudulent, misleading, or inaccurate listings, including misrepresenting the quantity, quality, date, or source of breast milk.
  • Attempting to conduct payments or transactions outside the Platform's payment system to circumvent fees or payment protections.
  • Harassing, threatening, intimidating, or abusing other users through messaging or any other communication method.
  • Posting fake reviews, manipulating ratings, or engaging in any form of review fraud.
  • Engaging in any illegal activity or using the Platform in violation of any applicable local, state, or federal law.
  • Listing, selling, or distributing any substance other than human breast milk, including but not limited to adultered milk, formula misrepresented as breast milk, or any controlled substance.
  • Misrepresenting your identity, falsifying identity documents, or concealing any health condition that may affect the safety of breast milk.
  • Creating multiple accounts, impersonating another person, or providing false identity information.
  • Attempting to reverse-engineer, hack, or disrupt the Platform or its security features.
  • Using the Platform for any purpose other than its intended use as a breast milk marketplace.

8. Intellectual Property

All content, design, graphics, logos, trademarks, software, and other intellectual property associated with the Milk Supply Co Platform are owned by or licensed to Milk Supply Co, LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Platform content without our express written permission.

You retain ownership of any content you submit to the Platform, including listing descriptions, photos, reviews, and profile information. However, by submitting content to the Platform, you grant Milk Supply Co a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, display, and distribute your content in connection with operating and promoting the Platform.

9. Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Milk Supply Co disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Milk Supply Co shall not be liable for:

  • The quality, safety, legality, or condition of breast milk listed, sold, or exchanged through the Platform.
  • Any health outcomes, illness, or adverse reactions resulting from the consumption of breast milk obtained through the Platform.
  • Damage to breast milk during shipping, including spoilage, contamination, or temperature issues during transit.
  • Any disputes, disagreements, or claims between buyers and sellers.
  • The accuracy, completeness, or reliability of any information provided by users, including identity verification and listing details.
  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

In no event shall Milk Supply Co's total liability to you exceed the total amount of fees you have paid to Milk Supply Co in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Milk Supply Co, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform or any breach of these Terms.
  • Any content you submit, post, or transmit through the Platform.
  • Any transaction you conduct with another user, including the sale, purchase, or exchange of breast milk.
  • Any claim that breast milk you sold or provided caused harm to another person.
  • Your violation of any applicable law, regulation, or third-party right.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, for any reason including but not limited to:

  • Violation of these Terms or any Platform policies.
  • Fraudulent, abusive, or illegal activity.
  • Conduct that is harmful to other users, the Platform, or third parties.
  • Extended periods of account inactivity.

You may close your account at any time by contacting our support team at info@milksupplyco.com. Upon termination, your right to use the Platform will immediately cease. Any pending transactions will be handled in accordance with our payment and dispute resolution policies. Provisions of these Terms that by their nature should survive termination shall remain in effect.

12. Changes to Terms

Milk Supply Co reserves the right to modify or update these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, may provide additional notice via email or through the Platform.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or related to these Terms or your use of the Platform shall be resolved in accordance with applicable federal and state law. You agree to submit to the personal jurisdiction of the courts located within the United States for the resolution of any such disputes.
