1. Introduction
This Seller Agreement ("Agreement") is a legally binding contract between you ("Seller," "you," or "your") and Milk Supply Co, LLC ("Company," "we," "us," or "our"). By completing the seller onboarding process and listing breast milk for sale on the Milk Supply Co platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by this Agreement.
This Agreement supplements our Terms of Service and Privacy Policy. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall govern with respect to your activities as a seller.
2. Seller Eligibility
To sell breast milk on the Platform, you represent and warrant that:
- You are at least 18 years of age and are currently lactating.
- You are the sole producer of the breast milk you list for sale. Reselling or relisting milk obtained from another person is strictly prohibited.
- You have completed the seller onboarding process, including providing accurate health, lifestyle, and dietary information.
- You are not currently diagnosed with any communicable disease that can be transmitted through breast milk, including but not limited to HIV, HTLV, hepatitis B, or hepatitis C.
- You will promptly disclose any changes to your health status, medications, or lifestyle that may affect the safety or quality of your breast milk.
3. Listing Obligations
When creating and managing listings, you agree to:
- Provide accurate and truthful information for every listing, including the quantity of milk available, the date(s) expressed, storage conditions, and pricing.
- Keep listings up to date. Remove or update listings promptly when the advertised milk is no longer available or when any listing details change.
- Set fair and reasonable prices. Price gouging during periods of high demand (e.g., formula shortages) is prohibited.
- Not create duplicate, misleading, or spam listings to gain unfair visibility on the Platform.
- Include clear photos if requested and ensure all images accurately represent the product being offered.
4. Milk Quality & Safety Representations
By listing breast milk on the Platform, you represent and warrant that:
- All breast milk you list was personally expressed by you and has not been tampered with, diluted, or adulterated in any way.
- You follow proper hygiene practices during expression, including clean hands, sanitized equipment, and appropriate collection containers.
- All milk has been stored in accordance with recognized safe storage guidelines (e.g., CDC guidelines for breast milk storage) from the time of expression through listing.
- You do not add water, formula, cow's milk, or any other substance to the breast milk.
- Any medications, supplements, or substances you are taking that may be present in your breast milk are accurately disclosed in your seller profile.
Important: Providing false or misleading health information, adulterating breast milk, or concealing any condition that could affect milk safety is a serious violation of this Agreement and may result in immediate account termination, forfeiture of pending payouts, and referral to law enforcement.
5. Health Disclosures
During onboarding and throughout your time as a seller, you agree to honestly and completely disclose:
- All prescription medications and over-the-counter drugs you are currently taking or have taken within the past 30 days.
- All dietary supplements, herbal remedies, and vitamins you regularly consume.
- Your tobacco, alcohol, and caffeine consumption habits.
- Any recreational drug use.
- Any recent illness, infection, or medical procedure that may affect milk quality or safety.
- Your dietary preferences and restrictions, including any exposure to common allergens.
- Your vaccination history as requested during the onboarding process.
You agree to update your seller profile promptly if any of the above information changes. Failure to disclose or update material health information may result in suspension or termination of your seller account.
6. Platform Fees
You acknowledge and agree to the following fee structure:
- Milk Supply Co charges a service fee of 10% on each completed transaction. This fee is automatically deducted from your payout.
- A payment processing fee of 3% is charged to buyers on shipped orders to cover payment processing costs. This fee does not affect your payout — your payout is calculated as the subtotal minus the platform service fee.
- For shipped orders, shipping costs are paid by the buyer. You are responsible for accurately packaging and shipping the order using the Platform's shipping label system.
- Payouts are processed through Stripe Connect. You must maintain an active Stripe Connect account in good standing to receive payouts for shipped orders.
- For local pickup orders, payment is arranged between you and the buyer outside of the Platform's payment system, and no platform fee applies.
7. Shipping & Handling Responsibilities
For orders requiring shipping, you agree to:
- Ship orders promptly after accepting them and receiving buyer payment authorization.
- Package breast milk securely using insulated packaging with appropriate cold packs (dry ice or gel packs) to maintain safe temperatures during transit.
- Use the Platform's shipping label system to generate shipping labels and provide tracking information to the buyer.
- Accurately enter the weight and dimensions of your package so that shipping costs can be calculated correctly.
- Follow all applicable shipping carrier guidelines for perishable and biological materials.
- Ship via expedited methods (2-day or overnight) to minimize transit time and maintain milk quality.
8. Order Fulfillment
Once you accept an order, you are committed to fulfilling it. You agree to:
- Respond to order requests within a reasonable timeframe (ideally within 24 hours).
- Communicate promptly and professionally with buyers through the Platform's messaging system.
- Not cancel accepted orders without a valid reason. Repeated cancellations may result in account restrictions.
- Provide the exact quantity of breast milk as specified in the order. Short-shipping is a violation of this Agreement.
9. Prohibited Seller Conduct
As a seller, you agree not to:
- List or sell breast milk that is not your own or that has been obtained from another person.
- Adulterate breast milk with any substance, including water, formula, cow's milk, or any other additive.
- Misrepresent the date expressed, quantity, storage conditions, or any other material fact about the milk.
- Attempt to solicit buyers for off-platform transactions to avoid platform fees or payment protections.
- Create fake accounts, manipulate reviews, or engage in any form of fraud.
- List any item other than human breast milk on the Platform. See our Prohibited Items Policy for details.
- Harass, threaten, or intimidate buyers or other users.
- Share buyer personal information (addresses, phone numbers) with any third party.
10. Account Suspension & Termination
We reserve the right to suspend or terminate your seller account at any time if we determine, in our sole discretion, that you have violated this Agreement or any Platform policy. Grounds for suspension or termination include but are not limited to:
- Providing false or misleading health information.
- Adulterating or misrepresenting breast milk.
- Repeated order cancellations or fulfillment failures.
- Fraudulent activity or identity misrepresentation.
- Receiving multiple buyer complaints or disputes.
- Attempting off-platform transactions.
- Any violation of applicable law.
Upon termination, any pending payouts may be held for up to 90 days to cover potential refunds or disputes. Active listings will be removed immediately.
11. Liability & Indemnification
You are solely responsible for the breast milk you sell through the Platform. Milk Supply Co is a marketplace facilitator and does not produce, test, screen, pasteurize, or guarantee any breast milk sold on the Platform.
You agree to indemnify, defend, and hold harmless Milk Supply Co, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- The breast milk you produce, list, sell, or ship through the Platform.
- Any harm, illness, or adverse reaction caused by breast milk you sold.
- Any breach of this Agreement, including false health disclosures or misrepresentations.
- Any claim by a buyer arising from a transaction with you.
- Any violation of applicable law or regulation.
12. Dispute Resolution
In the event of a dispute with a buyer, the following process applies:
- Buyers may initiate a dispute through the Platform within the designated review period after receiving an order.
- You will be notified of the dispute and given the opportunity to respond with your account of the situation and any supporting evidence.
- Milk Supply Co will review the dispute and make a final determination at our sole discretion.
- If a refund is issued, the refund amount (including any platform fees) will be deducted from your payout or future earnings.
Shipping Cost Responsibility
When a dispute is resolved in the buyer's favor, shipping label costs may be deducted from your payout depending on the cause of the issue:
- Seller-caused issues: If the dispute results from a fulfillment error on your part (e.g., wrong item, wrong quantity, inadequate packaging, late shipment, missed shipping window), the shipping label cost will be deducted from your payout in addition to the refund amount.
- Carrier or buyer-caused issues: If the issue was caused by the carrier (e.g., lost package, carrier delay) or the buyer (e.g., incorrect address, refused delivery), shipping label costs are not deducted from your payout.
- Minimizing disputes: You can reduce the risk of shipping-related disputes by following our Shipping & Handling Guide, packaging orders securely with adequate cold packs, shipping promptly via expedited methods, and avoiding shipments late in the week during warm months.

13. Changes to This Agreement
We may update this Agreement from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may provide additional notice via email or through the Platform. Your continued use of the Platform as a seller after any changes constitutes your acceptance of the updated Agreement.
