Buyer Agreement

1. Introduction

This Buyer Agreement ("Agreement") is a legally binding contract between you ("Buyer," "you," or "your") and Milk Supply Co, LLC ("Company," "we," "us," or "our"). By placing an order on the Milk Supply Co platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by this Agreement.

This Agreement supplements our Terms of Service and Privacy Policy. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall govern with respect to your activities as a buyer.

3. Infant Health Disclaimer

By purchasing breast milk on the Platform, you acknowledge and agree that:

• You should consult with a qualified pediatrician or healthcare provider before feeding donor breast milk to any infant.
• Milk Supply Co does not provide medical advice. Any information on the Platform regarding breast milk safety, handling, or nutrition is for educational purposes only and is not a substitute for professional medical guidance.
• Seller verification badges indicate that a seller has submitted identity verification, but do not constitute a guarantee of milk safety, health status, or accuracy of seller-disclosed information.
• You are solely responsible for evaluating the suitability and safety of any breast milk you purchase for your intended use.

4. Payment Terms

All payments for shipped orders must be processed through the Platform's secure payment system. By placing an order, you agree to the following:

• Authorization hold: When you authorize payment for a shipped order, a hold is placed on your payment method for the estimated total (product cost plus estimated shipping with a buffer). This is not a charge until the seller ships your order.
• Final charge: The actual amount charged may be less than the authorized hold if actual shipping costs are lower than estimated. If actual costs exceed the authorized amount, you may be asked to authorize an additional payment.
• Platform fee: A service fee of 10% is applied to each transaction and is included in the total price you see at checkout.
• Payment processing fee: A payment processing fee of 3% is applied to the total order value (product cost plus shipping) on shipped orders. This fee covers payment processing services and is included in the total amount charged to your payment method.
• Local pickup: For local pickup orders, payment arrangements are made directly between you and the seller outside of the Platform's payment system.
• Off-platform payments: Attempting to conduct payment outside the Platform's payment system for shipped orders is strictly prohibited and may result in account suspension.

5. Inspection & Acceptance

Upon receiving your order, you agree to:

• Inspect the breast milk promptly for proper packaging, temperature, quantity, and overall condition.
• Report any issues (damaged packaging, temperature concerns, incorrect quantity, or any other problem) through the Platform's dispute resolution process within the designated review period.
• Properly store breast milk immediately upon receipt following safe storage guidelines (e.g., CDC breast milk storage recommendations).
• Understand that failure to report issues within the designated review period may limit your ability to receive a refund.

6. Disputes & Refunds

If you are unsatisfied with your order, you may file a dispute through the Platform. You agree to:

• Use the Platform's dispute resolution process as the primary means of resolving order issues.
• Provide truthful and accurate information when filing a dispute, including photographic evidence if applicable.
• Not file fraudulent, exaggerated, or bad-faith disputes. Abuse of the dispute system may result in account suspension.
• Accept that Milk Supply Co's determination on disputes is final, though you may appeal within the timeframe outlined in our Refund & Dispute Policy.

Shipping Cost Responsibility

Whether shipping costs are included in a refund depends on who caused the issue:

• Shipping costs are refunded when the issue is caused by the seller (e.g., wrong item, wrong quantity, inadequate packaging) or the carrier (e.g., package lost in transit, carrier delay caused thawing).
• Shipping costs are not refunded when the issue is buyer-caused (e.g., incorrect shipping address, refused delivery, cancellation after label was used) or subjective (e.g., quality preferences, taste, appearance).
• If a shipping label was never used (e.g., order cancelled before shipment), the platform requests a label refund and shipping costs are returned to you.

7. Prohibited Buyer Conduct

As a buyer, you agree not to:

• Purchase breast milk for any unlawful purpose or for any use other than infant feeding or other lawful personal use.
• File fraudulent disputes or make false claims about received orders to obtain unwarranted refunds.
• Attempt to solicit sellers for off-platform transactions to circumvent payment protections or platform fees.
• Harass, threaten, or intimidate sellers or other users through the Platform's messaging system or any other means.
• Resell breast milk purchased through the Platform.
• Share seller personal information (addresses, phone numbers) with any third party.
• Create multiple accounts or provide false identity information.

8. Platform Role & Limitations

You understand and acknowledge that:

• Milk Supply Co acts solely as a marketplace facilitator connecting buyers and sellers. We are not a party to any transaction between users.
• We do not act as a milk bank, healthcare provider, medical advisor, or testing laboratory.
• We do not independently verify the accuracy of seller health disclosures, dietary information, or lifestyle claims.
• We do not guarantee the availability, quality, safety, or timeliness of any order.
• Seller ratings and reviews reflect the opinions of other users and are not endorsements by Milk Supply Co.

9. Liability Waiver & Indemnification

You agree to indemnify Milk Supply Co against any claims arising from:

• Your use of breast milk purchased through the Platform.
• Any health outcomes resulting from consumption of breast milk obtained through the Platform.
• Any breach of this Agreement.
• Any violation of applicable law or third-party rights.

10. Changes to This Agreement

We may update this Agreement from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may provide additional notice via email or through the Platform. Your continued use of the Platform as a buyer after any changes constitutes your acceptance of the updated Agreement.
